These User Terms govern every interaction you have with the Qik Office AI Office platform — the workspaces, agentic rooms, and AI project managers you work with. By signing in, you agree to the terms and responsibilities set out below.

To Begin With
These User Terms form a legally enforceable agreement between you and Qik Office. When you use Qik Office, you enter into a legal agreement with us. Your continued access to the platform signifies that you accept these Terms and any updates we may introduce over time. Throughout this document, references to "we", "us", or "our" refer to the Qik Office organization responsible for offering and maintaining the Services.
Customer Control and Your Access
Your use of Qik Office takes place within a company that is owned and administered by a Customer, and you participate in that workspace as an Authorised User.
The term "Customer" refers to the person or organisation that created the company and granted you permission to join it. This might be an organization inviting its employees, or it could be an individual who set up a company for a project or collaboration.
What This Means for You — and for Qik Office
The Customer who granted you access to the account has separately entered into a contractual agreement with Qik Office. This Contract authorises the Customer to create, configure, and manage a company, and to invite individuals — including you — to use the Services as Authorised Users. Our obligations with respect to service delivery are defined in that Contract, and the Customer determines how its Office operates and who may participate.
When you submit content or information within Qik Office — such as files, messages, notes, or other materials (Customer Data) — you acknowledge that the Customer is the owner of that data. Under the terms of the Contract, the Customer retains broad discretion and administrative control over Customer Data.
This may include the ability to:
- Grant or revoke user access
- Set roles and permissions
- Enable or restrict integrations or connected applications
- Define data retention, deletion, and export rules
- Transfer, merge, or reorganise Offices
- Access, modify, disclose, or remove Customer Data
The Relationship Between You, the Customer, and Qik Office
Between Qik Office and the Customer, you acknowledge that the Customer alone is responsible for the following:
- Informing you and other Authorised Users about any internal policies, guidelines, or configuration choices that may influence how Customer Data is managed within Qik Office.
- Securing all necessary rights, approvals, and consents from you and any other Authorised Users to support the lawful use of Customer Data and the proper operation of the Services.
- Ensuring that all transfers and processing of Customer Data carried out under the Contract comply with applicable legal requirements.
- Addressing and resolving any concerns, claims, or disputes raised by you or any Authorised User that relate to Customer Data, the functioning of the Services, or the Customer's compliance with its responsibilities.
While You're Here, You Must Follow the Rules
To maintain a secure, respectful, and efficient environment, all Authorised Users are expected to follow the guidelines set by the Customer and any other policies that apply within their Office. If you encounter behaviour or content that seems inappropriate or unsafe, you should notify the Customer's administrator, primary owner, or your employer immediately.
Your Access Depends on the Customer — and on Qik Office
These Terms and Conditions apply for as long as the Customer maintains an active subscription that includes your access, unless the Customer or Qik Office ends your ability to use the platform sooner. Your right to access Qik Office continues only while both the Customer and Qik Office permit it.
Liability Restrictions
When Qik Office determines that a Customer or an Authorised User may be acting in a way that conflicts with these Terms or any Qik Office requirements, we will notify the Customer first if the issue can be fixed by the Customer adjusting their settings or removing specific data. If the Customer does not correct the issue, or if we consider the situation to present a real risk to the platform, to other users, or to Qik Office, we may take whatever action we consider necessary. This can include limiting your access or deactivating your account.
To the extent permitted by law, Qik Office will not be responsible for any business losses you may claim to experience while using the platform. This includes loss of revenue, loss of productivity, interruptions to your work, or any similar financial impact.
Qik Office is also not liable for indirect or consequential damages of any kind, such as delays, data issues, integration problems, or disruptions caused by system behaviour, configuration choices made by the Customer, or actions taken by other Authorised Users.
This applies regardless of the legal theory involved, and even if you informed Qik Office that such losses were possible.
Application of Consumer Laws
Qik Office is designed for use by organisations, teams, and enterprises — not for personal or household consumption. To the fullest extent allowed by law, you acknowledge that consumer protection laws generally do not apply to your use of Qik Office.
If any consumer protections do apply and cannot legally be excluded, these Terms do not limit or override your statutory rights in any way. In such cases, Qik Office's responsibility will be restricted, at our discretion, to one of the following:
- providing an equivalent replacement of the affected part of the Service,
- restoring or repairing the affected functionality,
- re-supplying the relevant portion of the Service, or
- issuing the Customer a prorated refund for the unused portion of the subscription term.
Survival
Certain parts of these Terms and Conditions will continue to apply even after your access ends. Specifically, the sections covering:
- the relationship between you, the Customer, and Qik Office,
- limitations on liability,
- this survival clause itself,
along with all provisions listed under General Provisions, will remain in force after termination or expiry of these Terms.
General Provisions
Notices
Unless these Terms specify otherwise, all notices under the User Terms will be delivered by email. Qik Office may also choose to send certain notices or alerts directly within the Qik Office platform to Authorized Users.
Privacy Policy
Please refer to our Privacy Policy for detailed information on how Qik Office collects, processes, and uses data related to your activity and the performance of our services.
Waiver
A delay or failure by either party to exercise any right under these Terms and conditions does not amount to a waiver of that right. Any waiver of rights under these User Terms is only valid if it is expressly provided in writing and signed by an authorized representative of the party granting the waiver.
Severability
To the extent permitted by law, these User Terms remain effective in their entirety. If any clause is determined by a court of competent authority to be invalid or unenforceable, that clause will be revised by the court to reflect its original purpose as closely as possible while still complying with the law. All other provisions of these User Terms will continue in full force and effect.
Assignment
You may not transfer or assign any rights or responsibilities under these Terms and Conditions without obtaining prior approval from Qik Office. We will not unreasonably withhold such consent. Qik Office may assign these Terms and Conditions, in whole or in part, without requiring your permission, including to any affiliated entity or as part of a merger, acquisition, restructuring, or sale of all or substantially all of our business assets.
Governing Law, Jurisdiction, and Fees
These Terms and conditions — and any dispute arising from or relating to them — will be governed solely by the same laws that apply to the underlying agreement between the Customer and Qik Office. Conflicts-of-law principles and international conventions, including the United Nations Convention on Contracts for the International Sale of Goods, do not apply.
Any legal action connected to these User Terms must be brought exclusively before the courts specified as the governing venue in the Customer's contract with Qik Office. Both you and Qik Office agree to submit to the exclusive jurisdiction of those courts.
In any legal proceeding brought to enforce or interpret these User Terms, the party that prevails is entitled to recover its reasonable legal costs and attorney fees.
Entire Agreement
These Terms and Conditions represent the complete and exclusive agreement between you and Qik Office regarding the subject matter here. They replace any previous or simultaneous discussions, proposals, or agreements — whether written or verbal.
If any part of these User Terms conflicts with content included by reference, the provisions in these User Terms take priority. However, if there is any inconsistency between the Customer's contract with Qik Office and these User Terms, the Customer's contract will govern first, followed by these User Terms, and then any referenced documents (such as the Privacy Policy).
The Customer is responsible for informing Authorised Users of any such inconsistencies. Until that occurs, these User Terms will remain the binding version for your use of Qik Office.
Image Generation Feature
Qik Office provides an AI-powered Image Generation feature ("Image Generation Tool") as part of the Products. Your use of the Image Generation Tool is subject to this Agreement and to the additional terms set forth in this Section 20. In the event of any conflict between this Section and other provisions of this Agreement, this Section shall govern with respect to the Image Generation Tool.
20.1 — Nature of the Feature and "As Is" Delivery
The Image Generation Tool uses artificial intelligence and machine learning models to generate images based on text prompts, parameters, or other inputs provided by You or Your End Users ("Prompts"). You acknowledge and agree that:
- AI-generated images are created algorithmically and may not always reflect the intent, accuracy, or quality You expect.
- Qik Office does not review, verify, approve, or endorse any image generated through the Image Generation Tool prior to delivery.
- Generated images are provided strictly "AS IS" and "AS AVAILABLE" without warranty of any kind, whether express, implied, statutory, or otherwise, including without limitation any warranty of fitness for a particular purpose, merchantability, accuracy, completeness, or non-infringement.
- Qik Office makes no guarantee that the Image Generation Tool will produce results that are accurate, lawful, appropriate, commercially usable, or free from defects, errors, bias, or offensive content.
20.2 — User Responsibility for Generated Images
YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR:
- All Prompts You or Your End Users submit to the Image Generation Tool.
- All images generated as a result of Your or Your End Users' Prompts ("Generated Images").
- The review, evaluation, editing, approval, and verification of every Generated Image before any use, publication, distribution, or delivery.
- Ensuring that Generated Images comply with all applicable laws, regulations, third-party rights, and platform or distribution requirements prior to any use.
- Any and all consequences — including legal, financial, reputational, or operational consequences — arising from the use, publication, distribution, transmission, storage, or delivery of Generated Images.
Qik Office's sole obligation is to provide access to the Image Generation Tool. All responsibility for the output and its downstream use rests entirely with You.
20.3 — No Liability for Image Generation Results
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QIK OFFICE, ITS PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND RESELLERS SHALL NOT BE LIABLE FOR ANY CLAIM, LOSS, DAMAGE, OR LIABILITY OF ANY KIND ARISING FROM OR RELATED TO:
- The content, quality, accuracy, style, or nature of any Generated Image.
- Any failure of the Image Generation Tool to produce a desired, expected, or usable result.
- Any use, misuse, publication, distribution, sale, licensing, transmission, or delivery of Generated Images by You or any third party.
- Any consequences — direct, indirect, incidental, special, exemplary, or consequential — resulting from the use or non-use of Generated Images.
- Any claim by a third party that a Generated Image infringes their intellectual property rights, violates their privacy, defames them, or causes them harm.
- Any technical errors, interruptions, or failures in the Image Generation Tool including incomplete, corrupted, or unexpected outputs.
- Any regulatory, legal, or compliance issues arising from Generated Images in the jurisdiction(s) where You operate or distribute content.
THIS LIMITATION OF LIABILITY APPLIES WHETHER THE CLAIM ARISES IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF QIK OFFICE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
20.4 — Prohibited Uses of the Image Generation Tool
In addition to the Prohibited Uses set forth in Section 4 of this Agreement, You agree that You will not use, and will not permit any End User to use, the Image Generation Tool to generate, create, produce, distribute, or store:
- Images that are sexually explicit, obscene, pornographic, or that depict nudity in a non-consensual, exploitative, or offensive manner.
- Images depicting, simulating, or sexualising minors in any manner whatsoever (zero tolerance).
- Deepfakes, synthetic media, or photorealistic images of real, identifiable persons without their explicit written consent, including images designed to mislead, defame, harass, or impersonate any person.
- Images that infringe, misappropriate, or violate the intellectual property rights of any third party, including but not limited to copyrights, trademarks, trade dress, rights of publicity, or moral rights.
- Images intended to promote, glorify, or incite violence, terrorism, self-harm, discrimination, or hatred toward any individual or group.
- Propaganda, disinformation, misleading political content, or fabricated news imagery intended to deceive the public.
- Images used for any fraudulent purpose, including fake identification documents, counterfeit materials, or deceptive advertisements.
- Images that violate any applicable law or regulation in Your or Your End Users' jurisdiction.
Qik Office reserves the right to suspend or terminate access to the Image Generation Tool, without notice, for any user found to have violated or attempted to circumvent these prohibitions.
20.5 — Intellectual Property of Generated Images
Subject to compliance with this Agreement:
- You represent and warrant that You own or have obtained all necessary rights, licences, and permissions for any material included in Your Prompts.
- You acknowledge that Qik Office makes no representation regarding the ownership, copyright status, or intellectual property clearance of Generated Images.
- Generated Images may resemble or incorporate elements that are subject to third-party intellectual property rights. It is Your sole responsibility to conduct any necessary clearance, review, or legal assessment before using Generated Images for commercial or public purposes.
- Qik Office does not claim ownership of Generated Images created by You, but grants no warranty of title or non-infringement with respect to such images.
20.6 — Content Moderation and Removal
Qik Office reserves the right — but assumes no obligation — to review, filter, block, modify, or remove any Prompt or Generated Image that Qik Office, in its sole discretion, determines to be in violation of this Agreement, any applicable law, or any Qik Office policy. Qik Office's exercise of or failure to exercise this right shall not create any liability or responsibility on Qik Office's part for any Generated Image that remains available or is later found to be harmful, unlawful, or in violation of any right.
20.7 — Third-Party AI Models and Processing
The Image Generation Tool may utilise third-party artificial intelligence models, APIs, or services to process Your Prompts and generate images ("Third-Party AI Services"). By using the Image Generation Tool, You acknowledge and agree that:
- Your Prompts may be transmitted to and processed by Third-Party AI Services.
- Third-Party AI Services operate subject to their own terms of service and acceptable use policies, which You are independently responsible for reviewing and complying with.
- Qik Office is not responsible for the behaviour, outputs, or decisions of any Third-Party AI Service.
- The capabilities, limitations, and outputs of the Image Generation Tool may change over time as Third-Party AI Services are updated, modified, or replaced.
20.8 — Delivery and Distribution Issues
Qik Office facilitates the delivery of Generated Images to You or Your designated systems. However, Qik Office shall not be liable for:
- Delays, failures, or errors in the delivery or transmission of Generated Images.
- Any issue arising from the further distribution, publication, or sharing of Generated Images by You or any third party after delivery.
- Any complaint, claim, or dispute raised by a recipient or viewer of Generated Images delivered or shared by You.
- Any platform- or channel-specific rejection, removal, or restriction of Generated Images upon distribution.
You assume full responsibility for the end-to-end delivery pipeline of Generated Images once they have been made available to You through the Products.
20.9 — Indemnification — Image Generation
In addition to Your indemnification obligations under Section 15 of this Agreement, You agree to indemnify, defend, and hold harmless Qik Office, its partners, officers, directors, employees, consultants, agents, suppliers, and Resellers from any and all third-party claims, liability, damages, penalties, fines, and/or costs (including, but not limited to, reasonable attorneys' fees) arising from or related to:
- Your or Your End Users' use of the Image Generation Tool.
- Any Generated Image produced through Your account.
- Any breach of Section 20.4 (Prohibited Uses) by You or Your End Users.
- Any claim that a Generated Image infringes a third party's intellectual property, privacy, or other rights.
- Any use, distribution, or delivery of Generated Images by You or any third party acting on Your behalf.
